1. TERM

12 Stays of Christmas Photo Contest (the “Contest””) starts at 12:01 a.m. UTC (Coordinated Universal Time) on December 11, 2023 (12/11/2023) and ends at 11:59 p.m. UTC on December 22, 2023 (12/22/2023) (the “Contest Period” and “Contest Voting Period”). The sponsor of this promotion is WESTGATE RESORTS, LTD, 2801 Old Winter Garden Rd, Ocoee, FL 34761 (“Hotel”, “Westgate”, and “Sponsor”). Information on how to enter and prizes form part of these official rules (“Official Rules”). By submitting an entry, each entrant agrees to the Official Rules and warrants that his or her entry complies with all requirements set out in the Official Rules. This is a skill-based contest and chance plays no part in the determination of winners. Voting ends at 11:59 p.m. UTC (Coordinated Universal Time) on December 22, 2023 (12/22/2023), the final day of the contest voting period. When deciding the winners, we will judge each entry based on the creativity of the photo and each point earned. Total points will not determine the final winners chosen.

2. WHO MAY ENTER

Contest is open only to individuals who are legal residents of the United States and at least twenty-one (21) years of age at the time of entry. Employees, officers and directors of Westgate, or any of its hotels, or their respective parent companies, subsidiaries, affiliates, representatives, consultants, contractors, legal counsel, public relations, advertising and promotion agencies, fulfillment, website providers, web masters and anyone involved in the production or administration of the Contest (collectively, the “Contest Entities”), and any members of their immediate families (spouses, parents, siblings and children, regardless of where they live) and those living in the same household are not eligible to enter or win. CONTEST IS VOID WHERE PROHIBITED.

3. HOW TO ENTER

Information on how to enter and prizes form part of these Official Rules. By submitting an entry, each entrant agrees unconditionally to the Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Contest. This is a skill-based contest and chance plays no part in the determination of winners. Official Rules are subject to change at Sponsor’s sole discretion.

How to Enter: During the Contest Period, each qualifying entrant will receive an email notification with a link to a website that allows him or her to participate in the Contest. To enter, eligible entrants must submit a photo that fits within the theme of the contest (“Entry”). To submit a photo, entrants must submit a digital photo file that complies with the submission requirements listed below. Limit one (1) entry per person. Entrant must provide all required information requested on the Official Entry Form, including, without limitation, first and last name and email address, to be eligible to enter. Photo entry must be submitted by Entrant. Entrant may be asked to answer optional questions and/or register for future notices of online promotions; however, you need not answer these questions or agree to receive future emails in order to be eligible for entry in the Contest.

Each eligible entry must comply with the following requirements (the "Photograph Requirements"):

  • Photographs must be in digital format of either JPG or PNG. Only online entries will be eligible. No print or film submissions will be accepted for entry into this Contest.

  • Photograph(s) must be of satisfactory quality (i.e. brightness, focus etc.). Any photograph submitted that is not of satisfactory quality may be rejected at Sponsor’s sole discretion. Your photograph must have been taken by you and must be based on your own genuine experience.

  • Photographs must fit the contest theme and the entrant may not previously have won an award in any photo contest hosted by Sponsor within the last 3 years.

  • Photographs that include sculptures, statues, paintings, and other works of art will be accepted as long as they do not constitute copyright infringement or fraud; provided that entrants must be prepared to provide a release form as described below in "Release". When photographing the work of others, it must be as an object in its environment and not a full-frame close up of another person's art.

  • The photograph, in its entirety, must be a single work of original material taken by the Contest entrant. By entering the Contest, entrant represents, acknowledges and warrants that the submitted photograph is an original work created solely by the entrant, that the photograph does not infringe on the copyrights, trademarks, moral rights, rights of privacy/publicity or intellectual property rights of any person or entity, and that no other party has any right, title, claim or interest in the photograph.

  • Photograph(s) submitted MUST NOT exceed 10 MB in size or include watermarks, which are not acceptable and will result in disqualification of photo.

  • Photograph(s) MUST NOT have previously been published, released or distributed in a commercial context, and MUST NOT have previously won any award or photo contest.

  • The photograph must not, in the sole and unfettered discretion of Hotel, contain obscene, provocative, defamatory, sexually explicit, or otherwise objectionable or inappropriate content.

  • Photograph(s) must be the entrant’s original idea (modification of an original work is not an original idea); photograph(s) MUST NOT copy or otherwise plagiarize from any source.

  • Photograph(s) MUST NOT contain material that violates or infringes another’s rights, including but not limited to, material that violates privacy, publicity, or intellectual property rights, or that constitutes copyright or trademark infringement. Without limiting the foregoing, entry submissions MUST NOT include third-party trademarks, logos, insignia, location signage, photographs, artwork, sculptures, books, articles, music, etc. or identifying descriptions of any media property, except those of Sponsor.

Any attempt by any entrant to obtain more than the permitted number of entries by using multiple and/or different identities, forms, registrations, addresses or any other method will void all of those entrant’s entries and that entrant may be disqualified at Sponsor’s discretion. Multiple entrants are not permitted to share the same email address. Normal Internet, phone and usage charges imposed by your online or phone service may apply. Incomplete, illegible, corrupted, or untimely entries are void and will be disqualified. Sponsor and its agencies are not responsible for lost, late, incomplete, damaged, stolen, misdirected, or illegible entries; lost, interrupted, or unavailable network, server, or other connections; or miscommunications, computer or software malfunctions, telephone transmission problems, technical failures, garbled transmissions, damage to a user’s computer equipment (software or hardware), or other errors or malfunctions of any kind, whether human, mechanical, electronic or otherwise. Entries will not be acknowledged or returned. All entries must be received by the end of the Entry Period. Proof of sending or submission will not be deemed to be proof of receipt by Sponsor. In the event of a dispute as to the identity of an entrant, the authorized account holder of the email address used to enter will be deemed to be the entrant or participant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider, Internet service provider, or other organization (which may include an employer) responsible for assigning email addresses for the domain associated with the submitted address. Potential winner may be required to show proof of being the authorized account holder. Entries specifying an invalid, non-working, or inactive email address will be disqualified and ineligible to win. Sponsor is not responsible for any changes or effects caused to your computer system or video equipment as a result of submitting an entry.

Usage Rights in Entries: Westgate and its designees shall have the unrestricted and non-exclusive right to edit, adapt, publish, copy, display, perform, broadcast, modify, and otherwise use any or all entry materials, alone or in combination with other material including but not limited to essays, photos and/or videos in any and all media, whether now known or later discovered, in perpetuity, without restriction of any kind whatsoever, without further compensation to the entrant or anyone else. Without limiting the foregoing, entries may be posted on the contest page for public viewing and voting in the Contest. Sponsor reserves the right to review any entry prior to any such posting, to remove any entry at any time after posting, and to remove any incidental material that could be deemed infringing where doing so would not materially alter the entry and where the entrant otherwise clearly intended to comply with these Official Rules, as determined by Sponsor. No guarantee is made that any particular entry will or will not be posted or as to the length of time between submission and posting. Sponsor reserves the right, in its absolute discretion, to determine if any particular entry is appropriate for posting. All entries that are uploaded and made available for viewing by the general public will be deemed posted at the direction of the entrant within the meaning of the Digital Millennium Copyright Act and the Communications Decency Act. Entry constitutes permission for Sponsor and its designees to use winner’s name, biographical information, photo and/or likeness in any and all media, now or hereafter devised, worldwide, in perpetuity, for internal, advertising, Contest and other purposes without additional compensation, notification or permission, unless prohibited by law. Potential finalists and/or winners may be required to assign all rights in entry to Sponsor without additional compensation.

The entries will be judged in accordance with the Judging Criteria, as defined below. All entries must be submitted and received within the Contest(s) deadline(s). Proof of submission is not proof of receipt. Entries must be made by the authorized account holder of the e-mail address submitted at the time of entry. “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, internet domain owner, or other person or organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Hotel reserves the right to examine the original photograph/source material in order to confirm compliance with these rules.

PHOTO RELEASE

By entering the Contest, each entrant:

Warrants that he or she is the owner of the photograph (and all the intellectual property rights in the photograph submitted).

Grants to Westgate, its successors, assigns, sublicensees and partners (“Authorized Parties”) an irrevocable, perpetual, worldwide non-exclusive license to reproduce, distribute, display sublicense and create derivative works of the entries (without a name credit) in connection with the Contest and promotion of the Contest, in any media now or hereafter known, including, but not limited to: Display on Resort website, publication in print advertising and marketing materials for the Resort, social media and online travel website distribution and online highlighting of entries or winners of the Contest.

WARNING: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS CONTEST OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

4. PHOTOS WITH PEOPLE IN THEM

Photos with people in them may or may not be accepted into the Contest(s) if they are personally recognizable to the Judges.

5. CONTEST PRIZES

First Prize: One (1) First Place prize will be awarded to the top photo story as chosen by the resort's judge's panel. The first prize will consist of:

(1) $1,200 towards your next vacation at a participating Westgate Resort in 2024, plus a $200 resort credit

Restrictions and blackout dates apply. 30-Day minimum advance booking window required. Based upon availability. Valid for a single stay. Nights must be used consecutively. Any unused portion of the prize will be forfeited. Cannot be combined with any other offer, promotion, or package. Prize is non-transferable, not redeemable for cash, and void after the expiration date.

Runner Up Prize: Twelve (12) Runner Up Prizes will be awarded to the additional photo story that best fits the contest theme as chosen by the resort's judge's panel. Each Runner Up prize will consist of:

(1) $100 certificate towards your next stay at a participating Westgate Resort

Restrictions and blackout dates apply. 30-Day minimum advance booking window required. Based upon availability. Valid for a single stay. Nights must be used consecutively. Any unused portion of the prize will be forfeited. Cannot be combined with any other offer, promotion, or package. Prize is non-transferable, not redeemable for cash, and void after the expiration date.

No prize transfer, assignment, or substitution by winners permitted. If a prize (or part of a prize) is unavailable, Sponsor, in its discretion, reserves the right to substitute the original prize (or that part of the prize) with an alternative prize of equal monetary value and/or specification, unless to do so would be prohibited by law.

Statement of winning odds: The odds of winning depend on the number of eligible entries received.

NONCOMPLIANCE OR RETURN OF PRIZE NOTIFICATION AS UNDELIVERABLE, WHETHER BY REGULAR MAIL OR BY E-MAIL, MAY RESULT IN DISQUALIFICATION AND SELECTION OF AN ALTERNATIVE POTENTIAL WINNER.

Prize Restrictions: Some restrictions and blackout dates may apply. Prize is based upon availability, non-transferable, and not redeemable for cash. Limit one (1) prize per household. Any and all applicable federal, state, and local taxes and all fees and expenses related to acceptance and use of prize not specifically stated herein, including but not limited to, change of air travel fees, ground transportation, automobile insurance, meals, incidentals, passenger tariffs or duties, surcharges, service charges or facility charges, personal charges at lodging, security fees and/or other expenses, are the responsibility solely of winner. Prize cannot be substituted, assigned, transferred, or redeemed for cash; however, Sponsor reserves the right to make equivalent prize substitutions at its sole discretion. No prize transfer, assignment, or substitution by winners permitted. If a prize (or part of a prize) is unavailable, the Sponsor, in its discretion, reserves the right to substitute the original prize (or that part of the prize) with an alternate prize to the equal monetary value and/or specification, unless to do so would be prohibited by law. Sponsor will not replace any lost or stolen prizes or components of a prize(s). Prize cannot be used in conjunction with any other promotion or offer. Only the number of prizes stated in these Official Rules is available to be won in the Contest. If, by reason of a print or other error, more prizes are claimed than the number set forth in these Official Rules, an alternate winner will be selected in accordance with the winner selection method described above from among all eligible claimants making purportedly valid claims to award the advertised number of prizes available. Winners receiving hotel stays will each receive a Certificate for their stay at Westgate Resorts (“Certificate”) with booking instructions. Certificate will expire one (1) year from date of issue. Winner must book their stay at least 30 days from the date of scheduled arrival.

6. JUDGING

Entries will be posted on the Westgate Resorts’ Flip.to webpage for voting, in which members of the public who receive an invitation to vote will have the opportunity to cast votes for their favorite entry (“eligible voters”). See Voting Rules below. At the conclusion of the Contest Voting Period, December 22, 2023 (12/22/2023), entries will be judged by a panel of judges, applying the following criteria (“Judging Criteria”): (i) originality (ii) appropriateness to theme (iii) quality of expression and (iv) public voting results. The decisions of the judges are final and binding on all matters.

All submitted photos will be reviewed by a member of the Sponsor staff (“Judges”) to qualify which photos advance as finalists in the competition. Judges may disqualify any entries that do not meet eligibility criteria. Submissions that earn a higher number of points will have better odds of winning, but the winning submissions will ultimately be chosen by a member of the Sponsor staff at their sole discretion. Voting ends at approximately midnight UTC (Coordinated Universal Time) at the beginning of the final day of the contest voting period. When deciding the winners, we will judge each entry based on the creativity of the photo and each point earned. Total points will not determine the final winners chosen.

Voting Rules: During the Contest Voting Period, eligible voters will have the opportunity to cast votes for their favorite entry. To vote, eligible voters must click “Vote for this Photo” button at the bottom of a photo. Limit one (1) vote per person. Any entries received in excess of this maximum of one (1) vote will be disqualified. Individuals must be U.S. residents who are eighteen (18) years of age or older to vote in Contest. Voting will be subject to the terms of use of the Contest Website and any additional voting instructions that may be posted on the Contest Website. Votes received from any email or IP address in excess of the stated limitation will be void. Votes from invalid, non-working, or inactive email addresses will be disqualified. Entrants are prohibited from inducing or obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering prizes, cash or other inducements to prospective voters, as determined by Sponsor in its sole discretion. Use of script, macro or any device to automate voting, hiring outsourced vote-farming services, paying for votes, or engaging in any other conduct deemed inappropriate, disruptive or unsportsmanlike as determined by Sponsor in its discretion, is prohibited, and any entries or votes received through such means will be void. Any attempt by any voter or entrant to submit or solicit more than the stated number of votes by using multiple/different email addresses, Facebook IDs, identities or any other method will void that person’s votes and entry (if any), and he/she may be disqualified from further voting or other participation in the Contest. Sponsor reserves the right, in its sole and unfettered discretion, to nullify all votes obtained via such means and to disqualify responsible entrants from further voting or participation in the Contest.

7. LIMITATION OF LIABILITY AND CLASS ACTION WAIVER

Release of Liability: By entering the Contest, entrant agrees to hold Sponsor, Westgate Resorts, and its hotels, and their affiliates and subsidiary companies, consultants, website providers, legal counsel, fulfillment and marketing, public relations, promotional and advertising and Contest agencies and each of their respective directors, officers, employees and assigns (collectively, the “Released Parties”) harmless by entrants against any liability for injuries, losses or damages of any kind to persons, including personal injury or death, or property caused or resulting, in whole or in part, directly or indirectly, from acceptance, possession, misuse, or use of the prize, entry, or participation in the Contest, any Contest-related activity, or by acceptance or use of a prize (including any travel or activity-related thereto), or any claims based on publicity rights, defamation or invasion of privacy, or merchandise delivery. Released Parties are not responsible for lost, late, misdirected, delayed, inaccurate, illegible, garbled, stolen or incomplete entries or entries not received for any reason or for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any Web site or any combination thereof or for any other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing or judging of entries, the announcement of the prizes, the incorrect uploading of any photo or essay or in any Contest-related materials. The Released Parties are not responsible if any prize cannot be awarded due to cancellations, delays, or interruptions due to Acts of God, acts of war, natural disasters, weather, or terrorism. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in this Contest or downloading materials from or use of the Page or any web site. Persons who tamper with or abuse any aspect of the Contest or Web site, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Entries will be void. By participating in this Contest, entrant agrees that the Released Parties will not be responsible or liable for any injuries, damages, or losses of any kind, including direct, indirect, incidental, consequential, or punitive damages to persons, including death, or to property arising out of access to and use of any website associated with this Contest or the downloading from and/or printing material downloaded from such site.

By participating, you further agree that: (i) any and all disputes, claims, and causes of action arising out of or in connection with the Contest, or any prizes awarded, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorney’s fees; and (iii) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out-of-pocket expenses.

Nature of Relationship/Waiver of Equitable Relief: Each entrant understands and acknowledges that Sponsor has wide access to ideas, designs, and other materials, and that new ideas are constantly being submitted to it or being developed by their own employees. Each entrant also acknowledges that many ideas may be competitive with, similar or identical to the Submission and/or each other in theme, idea, format or other respects. Each entrant acknowledges and agrees that such entrant will not be entitled to any compensation as a result of Sponsor’s use of any such similar or identical material. Each entrant acknowledges and agrees that the Sponsor does not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the copyright in and to the Submission. Finally, each entrant acknowledges that, with respect to any claim by entrant relating to or arising out of Sponsor’s actual or alleged exploitation or use of any Submission or other material submitted in connection with the Contest, the damage, if any, thereby caused to the applicable entrant will not be irreparable or otherwise sufficient to entitle such entrant to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition or other exploitation of the Submission or any material based on or allegedly based on the Submission, and the entrant’s rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.

8. CONDITIONS

THIS CONTEST IS VOID WHERE PROHIBITED.

Governing Law: Except where prohibited by law, entrant agrees that (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the jurisdiction where the Sponsor's corporate office is located in Orange County Florida; (2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Florida, without giving effect to any choice of law or conflict of law rules, which would cause the application of laws of any jurisdiction other than the jurisdiction where the Sponsor's corporate office is located.

Entries void if Hotel determines the photograph to not be an original, or if the entries are illegible, incomplete, damaged, irregular, altered, counterfeit, produced in error or obtained through fraud or theft.

By entering, entrants also agree (a) to be bound by these Official Rules; (b) that the decisions of the Judges are final and binding with respect to all matters relating to the Contest; and (c) that Hotel may use the winning photographs and each Entrant’s name, photograph, likeness, personal data (see number 11 below) and/or voice in any publicity or advertising relating to the Contest or future promotions without compensation or approval (except where prohibited by law). All federal, state/provincial/territorial and local taxes, fees and surcharges and taxes (whether foreign or domestic, and including income, sales, and import taxes) on prizes are the sole responsibility of the prize winners. In the event that the selected winner(s) of any prize is/are ineligible, cannot be traced or do not respond within 10 days to a winner notification as required by the “Contest Prizes” Rules above, or refuses the prize, the prize will be forfeited and Hotel, in its sole discretion, may choose whether to award the prize to another entrant.

Hotel reserves the right to verify the validity and originality of any entry and/or entrant (including an entrant’s identity and address) and to disqualify any entrant who submits an entry that is not in accordance with these Official Rules or who tampers with the entry and/or voting process. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Neither Sponsor nor anyone acting on its behalf will enter into any communications with any entrant regarding this Contest, except as expressly set forth in these Official Rules. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be attempting to tamper with or undermine the entry process, the website, and/or the legitimate operation of the Contest; to violate the Official Rules; or to act in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten, or harass any other person. Sponsor and its agents are not responsible for (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Contest; (4) technical or human error which may occur in the administration of the Contest or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use or misuse of any prize. If, for any reason, the Contest is not capable of running as planned, including infection by computer virus or bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor, which corrupt or affect the operation, administration, security, fairness, integrity or proper conduct of this Contest, Sponsor may, in its sole discretion, void any suspect entries and (a) modify the Contest or suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules; and/or (b) award the prize from among the eligible, non-suspect entries received up to the time of the impairment in accordance with the winner selection criteria described above.

9. RIGHT TO CANCEL OR SUSPEND CONTEST

If for any reason the Contest is not capable of running as planned, due to infection by computer virus, bugs, worms, trojan horses, denial of service attacks, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Hotel that corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, Hotel reserves the right, at its sole discretion, to disqualify any individual(s) who tamper with the entry process, and/or to cancel, terminate, modify, or suspend the Contest.

10. WINNER SELECTION

After the conclusion of the Contest Voting Period, Sponsor will determine the winners by adding the judging results and ranking the top entrants, then ranking them by number of votes received for each entrant. These entrants will be potential Prize winners. Sponsor reserves the right to select an alternate winner if the Submission fails to fit with the Contest theme or other eligibility criteria as determined by the Sponsor in its sole and unfettered discretion or should voting appear to have been tampered with in any way. Winning entries will be chosen posted online within 7 days of the conclusion of the Contest Voting Period. Previous winners of any Westgate sponsored photo contest(s) within the last 3 years are not eligible to win.

Notification of Winner: The potential winner will be notified by email using the information supplied at time of entry. Winning a prize is contingent upon meeting all eligibility requirements and fulfilling all other requirements set forth herein. If a potential winner does not respond within five (5) days after the first attempt to notify him/her that he/she has been selected to receive a prize, that potential winner will be deemed to have forfeited the prize, the finalist with the next highest score, determined by Sponsor in its sole discretion, may be selected as an alternate potential winner in his/her place. In the event that the Sponsor, in its sole discretion, does select an alternate potential winner, then that alternate potential winner will also have five (5) days to claim the prize, and must satisfy all eligibility requirements.

Except where legally prohibited, each potential winner may be required to complete and return an Affidavit/Declaration of Eligibility, Publicity and Liability Release in order to claim his/her prize, along with an assignment of all rights in and to his/her entry (including copyright and a waiver of any moral rights to the extent allowed by law), within seven (7) days of notification. Potential winner may also be required to verify ownership and rights/permissions for photograph and/or provide additional documents as may be required by Sponsor to confirm and/or assign rights in the entry. Failure to comply when requested may result in disqualification and selection of an alternate winner. If after the first attempt to contact him/her or if he/she fails to sign and return the Affidavit/Declaration of Eligibility, Liability& Publicity Release or any other required documentation within the required time period, or in the event that a potential Winner is disqualified for any reason, the potential winner will be deemed to have forfeited the prize, and the entrant with the next highest score will be selected as an alternate potential winner. Noncompliance with the foregoing, failure to abide by these Official Rules, or return of the prize notification as non-deliverable may result in disqualification and naming of an alternate potential winner. Only one (1) alternate winner selection will be made, after which any remaining prizes will remain un-awarded.

POTENTIAL WINNER IS SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE CONTEST. AN ENTRANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.

The data may also be used by Hotel in order to verify the participant's identity, postal address, and telephone number or to otherwise verify the participant's eligibility to participate in the Contest. Participants have the right to access, review, rectify, or cancel any personal data held by Hotel by writing to Hotel at Attn: Marketing Department, 2801 Old Winter Garden Rd, Ocoee, FL 34761. Personal data will be used by Hotel and its affiliates exclusively for the purposes stated herein.

NOTICE TO INDIVIDUALS: REMOVAL FROM MAILING LIST: Any individual (or other duly authorized person) may elect to exclude the name and address of that individual from all lists used by Hotel to mail skill contests or sweepstakes. To elect to have an individual's name excluded from all such lists, submit a removal request in writing to: Hotel, Attention: Marketing Department, 2801 Old Winter Garden Rd, Ocoee, FL 34761. World of Westgate Loyalty Program Terms & Conditions

Effective as of February 1, 2022, the loyalty program for Central Florida Investments, Inc., as parent company of Westgate Resorts, Inc. and together with its related entities (collectively “Westgate”) is World of Westgate™ (hereinafter, the “WOW Loyalty Program”). The WOW Loyalty Program operates under the terms and conditions as set out below unless otherwise expressly stated (the “Program Rules”).

The Program Rules govern Westgate’s relationship with members of the WOW Loyalty Program (collectively, “WOW Members,” and individually, a “WOW Member,” “Member,” or “you”), including how Members redeem WOW Loyalty Program privileges (“Privileges”).

ARBITRATION NOTICE: YOU AGREE THAT ALL DISPUTES BETWEEN YOU AND US REGARDING THE LOYALTY PROGRAM AND YOUR TIMESHARE OWNERSHIP WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. See Arbitration Section below.

1. Eligibility Membership in the WOW Loyalty Program is free and available to any individual who purchases a Westgate Resorts timeshare property or who rents rooms from Westgate Resorts and: (a) possesses the legal authority to agree to the Program Rules; (b) resides in a jurisdiction which legally permits participation in the WOW Loyalty Program; (c) provides valid and accurate personal information when enrolling in the WOW Loyalty Program; (d) is not already a Member of the WOW Loyalty Program (i.e. does not already have a WOW Account); and (e) has not previously been terminated from the WOW Loyalty Program.

Once an individual signs up for the Wow Loyalty Program, their benefits begin the next day.

2. Participation and Agreement To participate in the WOW Loyalty Program, you may enroll online through the WOW Mobile Application, WestgateOwners.com, WorldOfWestgate.com, WestgateReservations.com, MyWestgateVacation.com or visiting WestgateResorts.com (the “Site”) and set up a WOW Loyalty Program account (a “WOW Account”) in accordance with the on-screen instructions. You may also enroll by calling our Westgate Contact Support Center at 800-925-9999 (for Owners) or 877-729-0390 (for Non-Owners).

By opening a WOW Account to receive and redeem Privileges of the WOW Loyalty Program, you agree that:

you have read and accept these Program Rules; and you have read and accept the Site and Website Terms of Use which are incorporated by reference herein; and

you consent to the collection, use and disclosure of your personal data by Westgate and of its partner programs, and their authorized third-party agents and licensees in accordance with Westgate’s Privacy Policy.

3. General Conditions Membership in the WOW Loyalty Program is subject to these Program Rules. Westgate reserves the right to alter or modify the WOW Loyalty Program at any time in Westgate’s sole discretion without notice to Members, including without limitation, the right to add, modify, delete or otherwise change any provision of the Program Rules or any aspect of the WOW Loyalty Program, including without limitation, any procedure, the Levels and the Privileges, each as defined below. Some benefits may be temporarily unavailable based on adjusted protocols due to the ongoing pandemic or business demands. These include but are not limited to daily maid service for the Elite tier, adjusted opening schedules for restaurants or theme parks or other items. Privileges are subject to availability and vary by resort. Please contact the resort prior to making a reservation to learn more about the available privileges associated with the property.

Westgate further reserves the right to terminate the WOW Loyalty Program at any time without notice to Members. Since any changes will be posted on the Site, Members should check this page regularly. Westgate will also attempt to alert Members of material changes via email sent to the most recent email address provided to Westgate through the WOW Loyalty Program. Continued membership in the WOW Loyalty Program following any changes to these Program Rules constitutes acceptance of such changes.

Westgate reserves the right to audit any Member’s WOW Account at any time and require that each Member display their personal QR code via the WOW Loyalty App and present identification to receive on-property benefits. Westgate reserves the right, in its sole discretion, to discontinue participation for any Member who acts or is reasonably suspected of acting in any manner which is inconsistent with or violates these Program Rules or any portion of the WOW Loyalty Program. Westgate also reserves the right to discontinue participation for any Member who (i) acts or is reasonably suspected of acting in a fraudulent, dishonest or improper manner in connection with the WOW Loyalty Program, including sharing their discounts with others not on their account; (ii) acts in a manner that is deemed detrimental to the WOW Loyalty Program or Westgate, as determined by Westgate in its sole discretion; (iii) is ejected from any Westgate location for any reason; or (iv) is in breach of the terms of Westgate’s Contract for Purchase and Sale or online rental booking Privacy Policy as well as Terms and Conditions, as determined by Westgate in its sole discretion. Westgate’s termination of Member’s membership will result in immediate removal from the WOW Loyalty Program and the individual will have no right to use or access the Privileges. Westgate’s decisions and interpretations of these Program Rules shall be within Westgate’s sole discretion and are final and binding. Members are responsible for remaining knowledgeable as to the Program Rules. Westgate is not responsible for incorrect or inaccurate transmission of information regarding the WOW Loyalty Program, or problems related to any of the equipment or programming associated with the WOW Loyalty Program.

Member is responsible for reading and understanding the Program Rules and other communications from Westgate about the WOW Loyalty Program in order to understand his/her rights, responsibilities, and status in the WOW Loyalty Program. 4. Levels of the WOW Loyalty Program

Member will be deemed a certain “Level” in the WOW Loyalty Program depending on: 1) their status as a Rental Guest or an Owner and/or 2) the ownership tier that they fall into. A Member will be deemed a Level upon registration for the WOW Loyalty Program and entering into a Rental or Owner Agreement as described below:

Someone at the Member Level may attain a different Level described above upon becoming an Owner by purchasing a timeshare account directly from the developer. Owners may also move up or down in Levels depending on whether they purchase or sell their timeshare or purchase an additional timeshare directly from Westgate or trade up or down their timeshare. The Level will be based on the aggregate total of the purchase price of the timeshare interests purchased directly from Westgate and currently active. Westgate reserves the right, in its sole discretion to alter or modify the qualifications or criteria required to meet the Levels. Westgate reserves the right to determine the eligibility of any timeshare interest and correctly assign it to the appropriate level. Each timeshare interest may only count toward one WOW Loyalty account.

Once an Owner is enrolled in the Wow Loyalty Program, if they upgrade/downgrade (trade) their timeshare account, their level will be determined as follows:

If the Owner has a traded account, they will have access to previous benefits until down payment is completed on the new account.

Loyalty tiers assigned based on combined purchase price of active timeshare accounts. Resale Owners that have purchased their timeshare week(s) from any third party and not directly from Westgate, itself, are not eligible for Silver, Gold, Platinum and Elite tier levels.

Anyone in a tier above Member may be downgraded to the Member tier upon the sale of their timeshare resort or their timeshare interest.

5. WOW Loyalty Program Privileges Members who achieve a certain Level may be able to redeem Privileges at participating properties as further described below. Privileges may not be combined with other select promotions, offers or discounts, and are not valid for reservations or groups if a Non-Owner books through any third-party including an online travel agency, wholesaler or any channel that is not a direct booking with Westgate. For Owners who are Silver, Gold or Platinum level, if they sign up for the WOW Loyalty Program and have an existing reservation, they may use their benefits on their reservation. If a Non-Owner signs up for the WOW Loyalty Program with an existing reservation booked directly through Westgate, they may apply their benefits, too, as long as they signed up for the WOW Loyalty Program at least 72 hours in advance of their check-in date of their upcoming reservation. Loyalty benefits for non-owners will be accessible to the Member 72 hours after a non-owner signs up for the loyalty program.

6. Disclaimer and Limitations Neither Westgate, nor its parent, subsidiaries or affiliated companies will be responsible for any loss, injury or damage of any kind incurred by Member or anyone else in connection with Member’s participation in the WOW Loyalty Program.

THE WOW Loyalty Program IS OFFERED “AS IS” AND “AS AVAILABLE.” Westgate MAKES NO WARRANTIES EXPRESS OR IMPLIED WITH RESPECT TO THE WOW Loyalty Program AND Westgate HEREBY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, REGARDING THE WOW Loyalty Program, AND ANY PURCHASES OR PRIVILEGES, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Westgate SHALL NOT BE LIABLE TO ANY MEMBER OR OTHER PERSON FOR ANY DIRECT, COMPENSATORY, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, WHETHER IN AN ACTION IN CONTRACT OR TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, WARRANTY, STATUTORY RIGHTS OR ANY OTHER BASIS ARISING OUT OF, OR CONNECTED WITH, THE WOW Loyalty Program, OR ANY PRIVILEGES, EVEN IF Westgate HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR IF SUCH DAMAGES WERE FORESEEABLE. IN THE EVENT ANY OF THE FOREGOING LIMITATIONS OF LIABILITY ARE VOID OR NOT EFFECTIVE, MEMBER AGREES THAT THE TOTAL LIABILITY OF Westgate SHALL IN NO CASE EXCEED $25.

7. Miscellaneous

Unless otherwise expressly stated herein, Benefits or privileges may not be assigned, sold or otherwise transferred by the Member, by operation of law or otherwise. If the Owner sells or transfers their week or engages the services of any timeshare exit company, Loyalty membership and benefits shall be suspended. This shall not apply to permitted transfers to immediate family members. Notwithstanding the foregoing, if an Owner owns two weeks, but on week one – they are the primary account holder and on week two – they are the secondary account holder, these accounts can be combined into one Loyalty Membership, if the primary account holders on both accounts agree to do so.

The WOW Loyalty Program is subject to all applicable laws and regulations and is void where prohibited by law.

By participating in the WOW Loyalty Program, Member consents to and authorizes Westgate to collect information about the Member in accordance with the terms of the Privacy Notice.

Privileges are not Member’s property and may be revoked, canceled, limited or modified at any time.

These Program Rules constitute the entire understanding between Westgate and Member with respect to the WOW Loyalty Program, and supersede any and all prior communications, whether written or oral.

ARBITRATION OF DISPUTE - IMPORTANT NOTICE AFFECTING YOUR RIGHTS: In the event of any controversy between the parties, including but not limited to any claim, dispute, suit, demand, cross claim, counterclaim or third party complaint (whether statutory, in tort or otherwise) arising out of or relating to WOW Loyalty Program and the interpretation or validity of these Terms, including the validity, scope or applicability of this arbitration provision (also “Agreement”), shall be determined by binding arbitration. This arbitration provision is governed by the Federal Arbitration Act (“FAA”), 9 U.S.C. § 1 et seq. and not by any state rule or statute governing arbitration. THE PARTIES AGREE THAT ARBITRATION SHALL BE HEARD BY A SINGLE ARBITRATOR. YOUR CLAIM WILL NOT BE BROUGHT IN COURT AND NEITHER A JUDGE NOR A JURY WILL HEAR YOUR CLAIM. YOU MAY ASSERT A CLAIM IN ARBITRATION ONLY ON AN INDIVIDUAL BASIS AND NOT IN ANY REPRESENTATIVE CAPACITY OR AS A PRIVATE ATTORNEY GENERAL OR CLASS, COLLECTIVE OR MASS ACTION. FURTHER, THE PARTIES AGREE THAT THE ARBITRATOR MAY NOT CONSOLIDATE PROCEEDINGS OF MORE THAN ONE PERSON'S CLAIMS. The Arbitration shall be administered by the American Arbitration Association (“AAA”), 335 Madison Ave., Floor 10, New York, NY 10017-4605 (www.adr.org), or JAMS, 1881 Von Karman Ave., Suite 350 Irvine, CA 92612 (www.jamsadr.com). Arbitration shall be administered according to the arbitration service’s commercial arbitration fee schedule and the service’s current commercial rules and procedures except that: 1) the parties expressly waive the applicability of any rule governing class, collective or mass action; and 2) the parties agree that any specific arbitration procedure provided for herein shall apply to the arbitration proceeding. The arbitrator shall be neutral and independent and shall comply with the selected arbitration service’s code of ethics. Additionally, the arbitrator shall be guided by and apply the Federal Rules of Evidence and “governing substantive” law. The arbitrator’s award shall be final and binding on all parties, but subject to review in accordance with applicable statutes, rules and regulations governing arbitration awards. Judgment on the arbitration award may be entered in any court having jurisdiction over the parties. If a party fails to comply with the arbitrator’s award, the other party may petition a court having jurisdiction to enforce the award.

Notwithstanding the above, YOU MAY CHOOSE TO PURSUE A FUTURE CLAIM IN COURT AND NOT BY ARBITRATION IFYOU OPT OUT OF THESE ARBITRATION PROCEDURES WITHIN 45 DAYS FROM THE DATE OF ENTERING THE WOW LOYALTY PROGRAM. You may opt out of these arbitration procedures by calling (844) 311-6211 or via the internet by completing the opt-out form located at www.westgateoptoutform.com. Any opt out received after the opt-out deadline will not be valid and you must pursue your claim in arbitration. Whether you accept this arbitration agreement or opt out of arbitration so you can proceed in court, you acknowledge and agree that, in any court case you may file, you WAIVE THE RIGHT TO A TRIAL BY JURY AND THAT YOU CANNOT FILE A CLAIM IN A REPRESENTATIVE CAPACITY OR AS A PRIVATE ATTORNEY GENERAL, OR FILE A CLAIM AS A CLASS, COLLECTIVE OR MASS ACTION OR PARTICIPATE IN A CLASS ACTION.

While Westgate will use its best efforts to ensure accuracy of WOW Loyalty Program information, printing errors occasionally occur. Westgate reserves the right to correct such errors at any time in its sole discretion.

List of Privileges of the WOW Loyalty Program Privileges are subject to the provisions in these Program Rules. All capitalized terms herein have the same meaning as those set forth in the Program Rules or the Owner’s Contract for Purchase and Sale and online booking. No substitution of Privileges may occur, except in the sole discretion of Westgate. Privileges are subject to change at any time without notice. Privileges are subject to availability and vary by resort. For example, not all resorts have casinos, cabanas or water parks.

Important disclosures regarding Privileges referenced below:

Discounts (including food and beverage discounts) cannot be applied to alcohol, lottery, tobacco products or room service purchases or where prohibited by law.

Additional offers and discounts may not be combined with the WOW Loyalty Program or WOW Casino Rewards. Discounts from the WOW Loyalty Program may not be combined with WOW Casino Rewards.

Annual Resort Credit: Gold ($50), Platinum ($100) and Elite ($200) Owners receive an Annual Resort Credit beginning in 2022. The credit is awarded based on the Owner’s usage year. In order to receive the Annual Resort Credit, all of the Maintenance and Taxes (“M&T”) be paid on time which generally means payment received by January 2. The total amount credited is listed above and does not increase per number of weeks owned/villas occupied. - To receive the Annual Resort Credit, an Owner’s M&T must be paid timely by January 2. Westgate shall automatically provide for a payment grace period through January 15. - The Resort Credit is awarded annually if the Owner owns a vacation ownership account with occupancy every year. If an Owner owns only Even or Odd years, the Resort Credit will be applied only on the even or odd year associated with their ownership. - Loyalty Delinquency o After January 15, if their M&T isn’t paid timely, WOW Loyalty Benefits will be suspended. o The Collections Department may reinstate an Owner’s membership and their Annual Resort Credit, subject to the parameters of their Department Leadership. o If a reinstatement is approved, M&T must be paid at least 14 days prior to Owner’s arrival, and Annual Resort Credit may only be reinstated up to 50%. o If M&T is paid at the Front Desk, the Annual Resort Credit will not be reinstated.

Using the Annual Resort Credit - Owners may use the credit at Westgate Resorts owned stores/outlets on-property and must charge the purchase to their room folio. Upon check-out the credit will be automatically applied to their room folio balance. A credit card may be required to open a room folio to secure payment for any items above the Annual Resort Credit amount. - A minimum $25 resort charge will trigger the Annual Resort Credit. The Owner will not need to request that the credit be applied. - If there is less than a $25 resort charge or the allocated per day amount, the Owner will receive a notification via the Westgate Resorts Mobile App asking them to authorize the use of their Annual Resort Credit. - Please be aware there is no cashback option and that the credit is non-refundable and non-transferable. - The Annual Resort Credit can only be used in maximum increments of $25 per day for Gold and Platinum and $50 per day for Elite. - The Annual Resort Credit must be used in the year it is awarded and is not limited to one stay. If it is not used in its entirety on an Owner’s initial visit, the remaining balance can be carried over to another stay within the same year and can be applied to rented time or non-ownership time that same year. - The Annual Resort Credit cannot be rolled into the following year. - A minimum of $25 resort charge for Gold and Platinum, and $50 minimum charge for Elite will trigger the Annual Resort Credit. - For resorts including Westgate Las Vegas Resort & Casino, the Annual Resort Credit will apply only to charges from Westgate-owned outlets; not third-party outlets. (*Note: If a Gold, Platinum, or Elite Owner is staying at Westgate Las Vegas, they can only use their Annual Resort Credit at that location. For all other resorts, an Owner may use their Annual Resort Credit at such resort during their active reservation, as well as any other Westgate Resort they visit, excluding Westgate Las Vegas.) - If an Owner checks in prior to December 31 and then stays into the next calendar year, the Annual Resort Credit will be available to the Owner during their consecutive stay. - Under all circumstances, in order to be able to use the Resort Credit, it is necessary for reservations to be tied to Owner's WOW Loyalty account number.

Mortgage Delinquency - If an Owner becomes delinquent any payments to Westgate or their Home Owners Association for 60 or more days, their WOW Loyalty Membership Tier Level and benefits are automatically suspended. - If multiple accounts are owned, they must be current on all accounts. If they become delinquent on one, they cannot access benefits. - When the account becomes current again, the Membership Tier Level and benefits will be reinstated and return as it was prior to delinquency.

Westgate Owner Referral Privileges: Travel Partners Discounted Enrollment Available for Owners who sign up on property only.

Developer Exchange: Complimentary while reserving your Week to exchange to another Westgate resort. Developer Exchange Program availability is subject to program availability at the sole discretion of Westgate.

Rental Nights at Westgate Resorts & Hotels: Westgate shall provide a discount based off of the published Best Available Rate Plan. Discounts are subject to rate plan and program availability solely at the discretion of Westgate. Guest will be required to show proof of Loyalty Membership upon check-in via their QR code in the Westgate Resorts Mobile App. If a Guest books the discounted Loyalty Member Rate Plan but is not a Loyalty Member and cannot show proof upon check-in, the discounted Loyalty Member Rate Plan will be revoked and the Guest will be charged the Best Available Rate. A Loyalty Member may only rent two (2) rooms concurrently at any given time at the Loyalty Member Rate Plan. Any violations of this Benefit may result in the cancellation of the reservations booked. The use or participation in the benefit is completely voluntary. Pool Cabana Access Discount is valid for cabanas located onsite at Westgate Las Vegas Resort & Casino and at Westgate Lakes Resort & Spa’s Treasure Cove Water Park. Pool Cabana reservations are strongly encouraged to be booked in advance. Reservations are on a first come first served basis and are not guaranteed. Limited to one use per stay. Founder’s Owners are included at the Gold Tier Level of the program and President’s Club Owners are included at the Elite Level. However, there are some Loyalty benefits that do not directly align with their Club benefits.
